Quality & Reliability S.A. (QnR) announces the acquisition of a 51% equity stake in the Polish company E-XIM IT S.A., as part of its strategy to accelerate international growth and strengthen its presence across the Central and Eastern European market. The total consideration for the acquisition is up to €6,901,790, payable in five (5) installments. The first two (2) installments are fixed, while the remaining three (3) are contingent upon the achievement of agreed financial performance targets. The agreement also includes a call option for the acquisition of the remaining 31.62% equity interest in 2029.

Headquartered in Poland, E-XIM IT S.A. is listed on the NewConnect market of the Warsaw Stock Exchange (GPW). The company specializes in information technology and enterprise technology solutions, maintaining a strong presence in the Polish market and serving an established customer base that includes leading private and public sector organizations.

The acquisition of E-XIM IT S.A. marks another significant milestone in the execution of QnR Group's international growth strategy.
